Software Meets Airframe: Swarmer to Acquire FPV Hardware IP from Ukraine's Vataga Drone

Nasdaq-listed drone autonomy company Swarmer has signed an agreement to acquire hardware intellectual property from Ukrainian FPV maker Vataga Drone — and hire its CEO and 14 engineers — the latest sign that drone software firms want to own the full stack.

The Deal in Brief

Swarmer, Inc. (NASDAQ: SWMR), an Austin-based company whose autonomy software has supported more than 100,000 combat missions in Ukraine since April 2024, announced on October 27 that it has signed an agreement to acquire certain intellectual property from Vataga Drone, a Kyiv-based manufacturer founded in 2023. The package covers FPV airframe designs, initiation electronics, ground-control equipment, development tooling and manufacturing documentation. The transaction combines cash and equity; financial terms were not disclosed.

Vataga CEO Maksym Melnyk will join Swarmer as Vice President of Hardware along with 14 members of his research and development team, while Vataga itself continues operating as an independent manufacturer.

Why a Software Company Wants Hardware

Swarmer built its name on vendor-agnostic software that lets one operator control many unmanned platforms at once; Ukrainian media reporting on the deal cites a figure of roughly 15 drones per operator. Buying airframe and electronics IP changes the equation: instead of adapting its autonomy stack to other makers' aircraft, Swarmer can pair its software with hardware it controls end to end.

The company says its top priority after closing is scaling swarm-capable FPV and interceptor drones in combat use. Full-stack ownership also removes a familiar friction in defense procurement — the integration risk between airframes, electronics and software supplied by different vendors.

What Vataga Brings to the Table

Vataga is not a startup with paper designs. Its VTG Spark initiation boards have been supplied for use in more than 100,000 Ukrainian drones, and its NATO-codified FPV-10 'Peacemaker' platform has been fielded with more than 20 Ukrainian military units. Its Kvach interceptor has been used against Shahed-type attack drones.

A 13-inch FPV attack drone built by Vataga is currently flying combat missions in eastern Ukraine using Swarmer's Fire Raid mission template — an existing software-hardware pairing that the acquisition formalizes.

A Pattern: Full-Stack Defense Tech

This is Swarmer's second announced acquisition of 2026. In September it agreed to acquire Ratel Robotics, a Ukrainian maker of unmanned ground vehicles. The company raised a $15 million Series A in September 2025 and listed on Nasdaq in March 2026, the first Ukrainian defense-tech firm to do so.

The direction is clear: defense-tech companies that started as software vendors are absorbing proven hardware teams so they can sell complete systems rather than single components of a solution.

What It Means for Component Buyers

For B2B buyers of FPV and interceptor systems, consolidation toward full-stack suppliers changes how procurement should be framed. Airframes and electronics with documented, field-proven designs — like initiation electronics shipped on more than 100,000 aircraft — set a reliability benchmark that new suppliers will be measured against.

When evaluating FPV or counter-drone suppliers, ask three questions: is the hardware design backed by manufacturing documentation, has the electronics been produced at scale, and can the autonomy software integrate across vendors? Buyers sourcing propulsion and power systems for FPV platforms can contact our team for component guidance.
